The purpose of this appendix is to govern the conditions of access and use of the Application. Please read it carefully. The terms of use apply to you as a user of the Services.

The services are provided via the website www.getroger.io (the "Platform") and may include (the "Services"):
The purpose of these general conditions is to define the terms and conditions of use of the Services as well as to define the rights and obligations of the parties in this context.
They may be supplemented if necessary by special conditions of use for certain Services which will supplement these general conditions and, in case of contradiction, will prevail over them.
To improve their operation and quality, and due to the particularity of the digital sector, Roger may regularly change the characteristics and features of the Application. Thus, Roger is likely to add, delete or replace certain features. The Application is updated regularly.
The user is informed by email of changes within 30 (thirty) days before the entry into force of the new version of the Terms of Use. During this period, the Provider can terminate the Terms of Use by any means (for example, by sending an email expressing their desire to no longer use the Application). Otherwise, the Provider will be bound by the new version of the Terms of Use.
To use the Services, the User must fill out the registration form available on the Platform.In all cases, the User must provide Roger with all information marked as mandatory. Any incomplete registration will not be validated.
Registration automatically opens an account in the name of the User (the "Account") that allows them to manage their use of the Services in a form and by the technical means that Roger deems most appropriate to provide said Services.
The User can access their Account at any time after having identified themselves using their login and password.
The User undertakes to personally use the Services and not to allow any third party to use them on their behalf or on their account, unless they bear full responsibility.
The login credentials are strictly personal and confidential. The User undertakes to preserve the security and ensure the confidentiality of the username and password of their Account. In addition, the User assumes the responsibility for the security of individual stations allowing access to the Platform.
Any access to the Platform made using the User's credentials will be deemed to have been made by the latter. They must inform Roger without delay at the contact details indicated in Appendix 16 of these if they notice or are informed that their Account, including any of the Accesses, has been used without their knowledge. They acknowledge Roger's right to take all appropriate measures in such a case.
In the event of a security breach due to non-compliance with this article by the User, the latter will be solely responsible and can in no way engage the responsibility of Roger.
The User guarantees that all the information they give in the registration form or that they provide through third-party sites referred to above is accurate, up to date and sincere and is not tainted with any deceptive character.
They commit to update this information in their Account in case of modifications, so that they always meet the aforementioned criteria.
The User is informed and accepts that the information entered for the creation or updating of their Account is proof of their identity. The information entered by the User commits them from their validation.
The Platform and the Services are accessible:
The Platform and the Services are exclusively for professionals, understood as all natural or legal persons carrying out a paid activity in a non-occasional manner in all sectors of industry and commerce.
Except for technical failure attributable to Roger or in case of force majeure, the User is responsible for the confidentiality and security of their data and the data listed in the Application.
It is strongly recommended for the User to change their password at regular intervals and to use a secure password, avoiding easily identifiable combinations. Roger may impose an expiration date on the User's password beyond which they will be invited to change their password.
If they have reason to believe that their login data has been lost, stolen, diverted or compromised in any way, or in case of unauthorized use of the Application, the User must immediately notify Roger. In the absence of such notification, any use of the Application is deemed to have been made by the User.
In such a situation and / or in the presence of a potential or proven threat to the security or confidentiality of the Application's data, the User authorizes Roger to take all appropriate measures to prevent any unauthorized access (for example, reset the password and username or suspend access to the Application).
Services are subscribed to in the form of a subscription (the "Plan").
Depending on the Plan subscribed to, the User has access to a certain number of Services defined on the platform, in a form according to the features and technical means that Roger deems most appropriate, including:
Home is the first page of the application where all rooms are present. It's a general dashboard, where notifications are also displayed.
The Room is the space dedicated to a project, in which all stakeholders of the project will be invited, to communicate and collaborate.
The Room centralizes the project information in one single space.
Within each project, it is possible to communicate with one or more people of a project, via the channels, or the DMs.
Channels are thematic conversations within a room, in which it is possible to add several people from the room.
DMs (or Direct Messages) are conversations between two or more people, but which are not thematic.DMs are also available from Home.
Within a room, the "Files" space allows you to find all the files exchanged within the conversations of the room. This centralizes all your files.
On the home page, a space is dedicated to files that have been exchanged in all your rooms, like a Drive for files.
Within a room, the "Tasks Board" space allows you to have a view of all the tasks that have been assigned to a member of the room.
This allows each member to see all the tasks created for a given project.
On the home page, the "Tasks Board" space allows you to have a global view of the tasks assigned to you, across all rooms.
Acceptance of these general conditions is materialized by a checkbox in the registration form. This acceptance can only be full and complete. Any conditional agreement is considered null and void. The User who does not accept to be bound by these general conditions must not access the Platform or use the Services.r les Services.
Services are subscribed to in the form of a monthly or annual Plan.
The Plan begins on the day of its subscription for the duration subscribed by the User (monthly or annual) (the "Initial Period"), from date to date.
It is then tacitly renewed for successive periods of the same duration as the Initial Period (referred to, with the Initial Period, as the "Periods"), from date to date, unless terminated at any time by Roger or by the User.
Any period started is due in its entirety.
The User terminates the Plan through his Account.
Roger terminates the Plan by sending an email to the User. In addition, Roger reserves the right to close and delete any Account that remains inactive for a continuous period of 6 months.
In the event of unsubscription by the User, the User's Documents are kept by Roger for a period of 3 years from the unsubscription of the User, without prejudice to the provisions set forth in the article "Obligations of the User".
The financial conditions are defined as follows:
Depending on the chosen Plan, Users can benefit from a free trial period whose duration is specified in the Plan, allowing them to access certain Services offered by Roger.
The price of each Plan is indicated on the Platform, in Euros and excluding taxes (the "Price").
Roger reserves the right, at its sole discretion and according to the modalities of which it alone will judge, to offer promotional offers or price reductions.
The Prices can be revised by Roger at any time, at its sole discretion.
The User will be informed of these changes by Roger by any useful written means (including by email) at least 2 weeks before the new rates come into effect.
Once in effect, the new Prices apply at the renewal of the Plan.
The User who does not accept the new Prices must terminate his Plan according to the provisions of the article "Duration of Services, Unsubscription". Otherwise, he will be deemed to have accepted the new Prices.
The Services are invoiced at the beginning of each Period and are communicated to the User by any useful means.
Any overrun of the User in his use of the Services compared to the subscribed Plan will be subject to additional billing at the end of each month.
The payment of the Price is made:
The Price is due and its debit is made at the beginning of each Period for the subscription and at the end of each month for any overruns.
The User guarantees to Roger that he has the necessary authorizations to use the chosen payment method. He undertakes to take the necessary measures so that the automatic withdrawal of the price of the Plan can be made.
The User is informed and expressly accepts that any delay in payment of all or part of a sum due on its due date will automatically result, without prejudice to the provisions of the articles "sanctions for breaches" and "duration of Services, Unsubscription" and as of the first presentation of a formal notice by registered letter with acknowledgment of receipt:
Without prejudice to other obligations provided for herein, the User undertakes to respect the following obligations.
8.1 The User undertakes, in his use of the Services, to respect the laws and regulations in force and not to infringe the rights of third parties or public order.
In this regard, he undertakes not to use the Services for illegal purposes and to respect the regulations applicable to the fight against money laundering, the financing of terrorism and the freezing of assets.
8.2 The User acknowledges having taken note on the Platform of the characteristics and constraints, in particular technical, of all the Services. He is solely responsible for his use of the Services.
8.3 The User undertakes to make strictly personal use of the Services. He therefore prohibits himself from assigning, conceding or transferring all or part of his rights or obligations under these terms to a third party, in any way whatsoever.
8.4 The User undertakes to provide Roger with all necessary information and more generally to actively cooperate with Roger for the proper execution of the Services.
The User is solely responsible for the documents, elements, data, information and content that he provides to Roger. He guarantees to Roger that he is authorized to provide these documents, elements, data, information and contents and that he has all the rights and authorizations necessary for their exploitation in the context of the Services.
He is also solely responsible for their accuracy, truthfulness and completeness, Roger can in no case be held responsible for any errors, typos, omissions or indications, particularly on his bank details, which are likely to mislead the concerned organizations, including Swan, due to a breach by the User of this clause.
The User undertakes that the said contents added to the Platform are lawful, do not infringe public order, morals or the rights of third parties, do not violate any legislative or regulatory provision and more generally, are not in any way likely to engage the civil or criminal liability of Roger.
The User thus refrains from disseminating, among other things and without this list being exhaustive:
8.5 The User acknowledges that the Services offer him an additional, non-alternative, solution for automated management of his accounting and that this solution cannot replace the other means that the User may have elsewhere to achieve the same goal.
8.6 The User is informed and accepts that the implementation of the Services requires that he be connected to the internet and that the quality of the Services depends directly on this connection, for which he is solely responsible.
9.1 Roger commits to provide the Services diligently and according to the rules of the art, it being specified that there is an obligation of means on him, excluding any obligation of result, which the Users acknowledge and expressly accept.
9.2 Roger has no knowledge of the data and information contained in the Documents, on which he does not perform any moderation, selection, verification or control of any kind, and in relation to which he intervenes only as a hosting provider.
Consequently, Roger cannot be held responsible for these Documents, the authors of which are third parties, any possible claim must be directed in the first place towards the author of the Documents in question.
Harmful Documents to a third party can be notified to Roger according to the procedures provided for by Article 6 I 5 of Law No. 2004-575 of June 21, 2004 for trust in the digital economy, Roger reserving the right to take the measures described in the article "Sanctions for breaches".
9.3 Roger commits to carry out regular checks to verify the functioning and accessibility of the Platform. In this regard, Roger reserves the right to temporarily interrupt access to the Platform for maintenance reasons. Roger cannot be held responsible for the difficulties or temporary impossibilities of access to the Platform that originate from circumstances beyond his control, force majeure, or disturbances in telecommunication networks.
9.4 Roger commits to make his best efforts to ensure the security of the Platform.
Roger cannot be held responsible for any lack of vigilance on the part of the Users in maintaining the confidentiality of their username and password to access the Platform.
9.5 Roger does not guarantee the Users (i) that the Services, subject to constant research to improve in particular the performance and progress, will be completely free of errors, defects or defects, (ii) that the Services, being standard and not proposed for the sole intention of a given User according to his own personal constraints, will specifically meet his needs and expectations.
The systems, software, structures, infrastructures, databases and content of all kinds (texts, images, visuals, music, logos, brands, database, etc.) operated by Roger within the Platform are protected by all rights of intellectual property or rights of database producers in force. All disassemblies, decompilations, decryptations, extractions, reuses, copies and more generally, all acts of reproduction, representation, distribution and use of any of these elements, in whole or in part, without Roger's authorization are strictly prohibited and may be subject to legal proceedings.
The User expressly authorizes Roger to quote him and to use, if necessary, the reproduction of his brand or logo as business references, particularly during events or events, in his business documents and on his website, in any form whatsoever.
None of the parties shall be held responsible for the difficulties or temporary impossibilities of executing these presents which originate from force majeure. The parties agree to consider as force majeure the events usually recognized as such by Article 1218 of the Civil Code and the French courts, including in particular strikes, terrorist activities, riots, insurrections, wars, government actions, epidemics, natural disasters or default attributable to a third party telecommunications provider.
In the event of a case of force majeure preventing the execution of its obligations by a party and continuing beyond a period of one month, these general conditions may be terminated by either party, by registered letter with acknowledgment of receipt, without either party having to pay the other any indemnity.
Roger reserves the right to modify these general conditions at any time.
The User will be informed of these modifications by any useful means at least 2 (two) weeks before the entry into force of said modifications.
The modified general conditions will apply from the renewal of the Plan following their entry into force.
The User who does not accept the modified general conditions must unsubscribe from the Services according to the procedures provided for in the article "Duration of the Services, unsubscription".
Any User who uses the Services after the entry into force of the modified general conditions is deemed to have accepted these modifications.
In the event of a translation of these general conditions into one or more languages, the language of interpretation will be the French language in case of contradiction or dispute over the meaning of a term or a provision.
These general conditions are governed by French law.
In case of dispute over the validity, interpretation and/or execution of these general conditions, the parties agree that the courts of Paris will be exclusively competent to judge, unless mandatory procedural rules contrary.
